1. Introduction

   These Terms and Conditions ("Terms") govern your use of Electric Asset's services, including our website (electricasset.com), mobile applications, electric vehicle charging stations, and related products and services (collectively, the "Services"). By using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.Electric Asset Inc. 2. Use of Services

   2.1 Eligibility: You must be at least 18 years old and capable of forming a binding contract to use our Services. If you are using the Services on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

   2.2 Account Creation: Some of our Services may require you to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

   2.3 Responsibility for Account: You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account.

3. Electric Vehicle Charging Services

   3.1 Charging Stations: Our charging stations are intended for use with standard electric vehicles manufactured by recognized automotive companies. Use with any other type of vehicle or equipment is prohibited.

   3.2 Safety: You agree to follow all safety instructions and guidelines when using our charging stations. You are responsible for ensuring that your vehicle is compatible with our charging equipment.

   3.3 Payment: You agree to pay all fees associated with your use of our charging services. Fees will be clearly displayed at the charging station or through our mobile application before you initiate a charging session.

   3.4 Availability: We do not guarantee the availability or functionality of our charging stations at all times. Maintenance, repairs, or other issues may affect availability.

4. Strata and Multi-Unit Residential Building Services

   4.1 EV Ready Plans: For strata corporations and multi-unit residential buildings, we offer EV Ready planning and implementation services. These services are subject to separate agreements and may involve additional terms and conditions.

   4.2 Installation: Any installation of charging infrastructure in strata properties or multi-unit residential buildings must comply with all applicable laws, regulations, and building codes.

   4.3 Ownership and Maintenance: Unless otherwise agreed in writing, charging equipment installed in strata properties remains the property of the strata corporation or property owner. Maintenance responsibilities will be outlined in the specific agreement for each installation.

5. Intellectual Property

   5.1 Ownership: All intellectual property rights in the Services, including software, designs, and content, are owned by or licensed to Electric Asset. You may not use, copy, or distribute any part of our Services without our prior written permission.

   5.2 Feedback: If you provide any feedback or suggestions about our Services, we may use this information without any obligation to you.

   6. Privacy and Data Protection

      6.1 Privacy Policy: Our collection and use of personal information in connection with the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference.

      6.2 Data Usage: We may collect and use data related to your use of our Services, including charging session data, for the purposes of improving our Services and for aggregate, anonymized reporting.

7. Limitation of Liability

   7.1 To the fullest extent permitted by applicable law, Electric Asset shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

   (a) your use or inability to use our Services;

   (b) any unauthorized access to or use of our servers and/or any personal information stored therein;

   (c) any interruption or cessation of transmission to or from our Services;

   (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party.

   7.2 Our total liability for any claims arising from or related to these Terms or our Services shall not exceed the amount you have paid to us for use of the Services in the past 12 months.

8. Indemnification

   You agree to indemnify and hold harmless Electric Asset, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

   9. Modifications to Services and Terms

      We reserve the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. We may also modify these Terms from time to time. We will notify you of any material changes by posting the new Terms on our website or through our mobile application. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

10. Governing Law and Dispute Resolution

    These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of British Columbia.
